Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you ("you") and Cimpathy ("Cimpathy", "we", "us", "our"). They govern your access to and use of the Cimpathy website at cimpathy.com, the Cimpathy mobile and web applications, and any related services (collectively, the "Service"). By creating an account, downloading the app, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Acceptance & Scope
By tapping "I agree", creating an account, or using any feature of the Service, you accept these Terms in full. These Terms apply equally to all users, whether on the free tier or a paid (one-time) plan. If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity.
2. Eligibility & Age Requirement
You must be at least 18 years old to use Cimpathy. By using the Service you represent and warrant that:
- You are at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater);
- You have the legal capacity to enter into a binding contract;
- You are not prohibited from using the Service under any applicable law;
- You will use the Service only for lawful purposes and in compliance with these Terms.
If you are under 18, do not register. Cimpathy is not designed for children. If we discover an account belongs to a minor, we will terminate it without notice.
3. NOT MEDICAL ADVICE
The Service includes self-assessment screenings (PHQ-9, GAD-7, PCL-5, etc.), educational content, AI chat, journaling tools, and wellness exercises. None of this constitutes:
- Medical advice, diagnosis, treatment, cure, or prevention of any condition;
- The practice of medicine, psychology, psychiatry, counseling, social work, or any licensed profession;
- A doctor-patient, therapist-client, or any professional relationship;
- An emergency or crisis intervention service.
Screening scores are informational signals only, not diagnoses. A high PHQ-9 score does not mean you have depression; a low score does not mean you don't. Only a qualified healthcare professional can diagnose a medical or mental-health condition. Always seek the advice of a qualified clinician with any questions you have about your health. Never disregard, avoid, or delay seeking professional advice because of anything you read, see, or hear on Cimpathy.
4. AI Disclaimer
Parts of the Service use artificial intelligence (currently Anthropic's Claude API) to generate conversational responses, route suggestions, and content. You acknowledge:
- AI outputs are generated by machine-learning models and may be inaccurate, incomplete, biased, outdated, or otherwise wrong;
- The AI is not a licensed therapist, counselor, doctor, or crisis worker — it is a software tool;
- The AI may fail to detect emergencies, crisis signals, or harmful situations;
- You must never rely on AI output for medical, legal, financial, safety, or other consequential decisions;
- You will independently verify any factual claim before acting on it;
- Cimpathy is not responsible for AI outputs or any action you take based on them.
5. Crisis & Emergency Disclaimer
The Service includes a directory of third-party crisis hotlines and resources. You acknowledge and agree that:
- Crisis hotlines and other listed resources are operated by independent third parties; we do not control, employ, train, vet, or supervise them;
- Phone numbers, addresses, hours, and procedures may change without notice; we make no warranty of accuracy, availability, response time, or quality;
- Cimpathy is not liable for the acts, omissions, delays, refusals, or outcomes of any third-party crisis service;
- You must verify hotline information with your local health authority before relying on it for an emergency;
- Our AI crisis detector is a software heuristic and may fail to detect crisis signals; never rely on it in place of calling emergency services.
6. Accounts, Credentials & Recovery
Using the Cimpathy app requires an account (email and password). Crisis resources and the safety-plan tools remain accessible without signing in. When you create an account:
- Provide accurate information; keep it current.
- You are responsible for safeguarding your password and recovery phrase (BIP-39). If you lose your recovery phrase, your encrypted data is unrecoverable — by design. We cannot restore it for you. You accept this risk.
- You are responsible for all activity under your account.
- Notify us at help@cimpathy.com of any unauthorized access.
7. Plans, Billing & Refunds
Cimpathy offers a free tier and optional one-time paid upgrades. There are no monthly subscriptions and nothing auto-renews. Plans:
- Premium: ₹999 (about $9) — a one-time payment for lifetime access to all non-AI features.
- Premium Plus: ₹24,999 (about $249) one-time for lifetime access including all AI features, or ₹9,999 (about $99) for one year of AI access. The one-year option does not auto-renew — when it ends, your account reverts to Premium (non-AI) and you keep lifetime Premium access.
- Payments in India are processed by Cashfree Payments (UPI, cards, net-banking); international payments are processed by PayPal. All INR prices are inclusive of applicable taxes. We never see or store your full card details.
- No auto-renewal. Because every plan is a one-time payment, there is no recurring charge to cancel — we will never automatically debit you again.
- All sales are final — paid upgrades are non-refundable. We do not provide refunds (full or partial) for change of mind or unused time. The only exception is a verified billing error (e.g. a duplicate charge, or access never delivered) reported within 7 days, and any rights that cannot be waived under applicable consumer-protection law. See our Refund & Cancellation Policy.
- EU/UK consumers: by accessing paid content immediately after purchase, you expressly request that the digital service begin during the 14-day cancellation period and acknowledge you thereby waive your statutory right of withdrawal under Article 16(m) of the EU Consumer Rights Directive and equivalent UK law.
- Prices may change; changes apply only to future purchases and never to access you have already paid for.
Crisis features are always free regardless of plan.
8. Acceptable Use
You agree not to:
- Use the Service to give medical, psychological, legal, or financial advice to others;
- Impersonate any person or claim a false identity or affiliation;
- Upload, generate, or transmit content that is unlawful, threatening, harassing, defamatory, infringing, obscene, or harmful to minors;
- Attempt to harm yourself or others through misuse of the Service;
- Reverse engineer, decompile, disassemble, scrape, or attempt to extract source code (except as permitted by mandatory law);
- Bypass authentication, rate limits, or other security controls;
- Use automated systems (bots, crawlers) to access the Service beyond ordinary use;
- Sell, resell, sublicense, or commercially redistribute the Service or its content;
- Use the Service to develop a competing product;
- Submit content you have no right to share, or third-party PHI without authorization.
9. Intellectual Property
Cimpathy and our licensors own the Service, including all software, designs, logos, content, copy, and trademarks. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. You retain ownership of content you create (journal entries, mood data, etc.); you grant us a worldwide, royalty-free license to process that content solely to operate the Service for you. We do not own your data; we are merely permitted to compute on it.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIMPATHY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE.
Some jurisdictions do not allow disclaimer of certain implied warranties; in those jurisdictions the disclaimers apply only to the maximum extent permitted by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIMPATHY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
CIMPATHY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO CIMPATHY IN THAT PERIOD OR (B) US$100.
Some jurisdictions do not allow exclusion or limitation of certain damages (e.g. for death or personal injury caused by gross negligence, or for fraud); in those jurisdictions, our liability is limited only to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Cimpathy and its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorneys' fees) arising from:
- Your use or misuse of the Service;
- Your violation of these Terms;
- Your violation of any third-party right, including any intellectual property, publicity, confidentiality, property, or privacy right;
- Any decision or action you took based on Service content (including AI outputs and screening scores);
- Any sharing of your account credentials or recovery phrase, intentional or unintentional;
- Any claim that any content you submitted to the Service caused damage to a third party.
13. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
We would first like to resolve any concern informally — please email help@cimpathy.com and we will try to resolve it within 30 days.
If a dispute cannot be resolved informally within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 of India, before a sole arbitrator. The sole arbitrator shall be appointed by the mutual written agreement of the parties; if the parties do not agree within 30 days of a written request to arbitrate, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996 (including, where applicable, by the competent court or a designated arbitral institution). Neither party may unilaterally appoint the sole arbitrator. The seat and venue of arbitration shall be Haryana, India, the language shall be English, and the award shall be final and binding. Nothing in this section prevents either party from seeking urgent interim relief from a court of competent jurisdiction.
Nothing in this section limits your statutory rights as a consumer. If you are a consumer in India, you retain all rights and remedies available to you under the Consumer Protection Act, 2019 and may approach the appropriate Consumer Disputes Redressal Commission; this arbitration clause does not waive those rights.
14. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws rules. Subject to the dispute-resolution clause in Section 13, the courts at Haryana, India shall have jurisdiction, except that a consumer may also pursue remedies before the consumer forum having jurisdiction over their place of residence as permitted by law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Note: these dispute-resolution and governing-law terms are India-aligned defaults and should be confirmed by the Company's legal counsel.
15. Suspension & Termination
You may stop using the Service at any time. To delete your account, go to Settings → Account → Delete account or email help@cimpathy.com.
We may suspend, terminate, or refuse the Service to you at any time, with or without notice, with or without cause, including for suspected violation of these Terms, fraud, risk to other users or to Cimpathy, or for any other reason or no reason. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 9, 10, 11, 12, 13, 14, and 18) will survive.
16. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated by in-app notice and email to your registered address at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with a change, your only remedy is to stop using the Service before the effective date.
17. Miscellaneous
17.1 Entire Agreement
These Terms together with the Privacy Policy constitute the entire agreement between you and Cimpathy regarding the Service and supersede all prior or contemporaneous communications, promises, and proposals, whether oral or written.
17.2 Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force and effect.
17.3 No Waiver
Failure by Cimpathy to enforce any right or provision is not a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may assign these Terms freely (including in connection with a merger, acquisition, or sale of assets).
17.5 Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including acts of God, war, terrorism, pandemic, governmental action, internet outages, or third-party provider failures.
17.6 Not a HIPAA Covered Entity
Cimpathy is a direct-to-consumer wellness tool and is NOT a HIPAA-covered entity or business associate. We do not provide healthcare services and do not create or maintain protected health information ("PHI") as defined under HIPAA. Clinicians wishing to use Cimpathy with patients must contact help@cimpathy.com for a separate BAA before doing so.
17.7 DMCA
Notices of copyright infringement should be sent to help@cimpathy.com with the subject "DMCA Notice" including all elements required under 17 U.S.C. § 512(c)(3).
17.8 Notices & Contact
The Cimpathy service is operated by Viprasol Tech Private Limited (CIN: U62090HR2025PTC135188), a company incorporated on 18 August 2025 and registered in Haryana, India. Legal notices must be sent to help@cimpathy.com. We may give notice to you by in-app message, email to your registered address, or update to these Terms. A postal address is available on request via the email above.
18. Survival
The following sections survive termination of these Terms: 3 (Not Medical Advice), 4 (AI Disclaimer), 5 (Crisis Disclaimer), 9 (IP), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Arbitration), 14 (Governing Law), and 17 (Miscellaneous).
