Terms of Service

⚠ READ BEFORE USING. Cimpathy is NOT a medical device, therapy, diagnosis, or substitute for professional care. If you are in crisis, call your local emergency number (112 in India, 988 in the US, 112 in the EU, or see crisis resources). By using Cimpathy you accept these Terms including a limitation of liability cap and arbitration under Indian law (Sections 11–14), without waiving your statutory consumer rights. See also our Refund & Cancellation Policy. Read them.

These Terms of Service ("Terms") form a binding legal agreement between you ("you") and Cimpathy ("Cimpathy", "we", "us", "our"). They govern your access to and use of the Cimpathy website at cimpathy.com, the Cimpathy mobile and web applications, and any related services (collectively, the "Service"). By creating an account, downloading the app, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance & Scope

By tapping "I agree", creating an account, or using any feature of the Service, you accept these Terms in full. These Terms apply equally to all users, whether on the free tier or a paid (one-time) plan. If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity.

You must be at least 18 years old to use Cimpathy. By using the Service you represent and warrant that:

If you are under 18, do not register. Cimpathy is not designed for children. If we discover an account belongs to a minor, we will terminate it without notice.

3. NOT MEDICAL ADVICE

CIMPATHY DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

The Service includes self-assessment screenings (PHQ-9, GAD-7, PCL-5, etc.), educational content, AI chat, journaling tools, and wellness exercises. None of this constitutes:

Screening scores are informational signals only, not diagnoses. A high PHQ-9 score does not mean you have depression; a low score does not mean you don't. Only a qualified healthcare professional can diagnose a medical or mental-health condition. Always seek the advice of a qualified clinician with any questions you have about your health. Never disregard, avoid, or delay seeking professional advice because of anything you read, see, or hear on Cimpathy.

Parts of the Service use artificial intelligence (currently Anthropic's Claude API) to generate conversational responses, route suggestions, and content. You acknowledge:

CIMPATHY IS NOT AN EMERGENCY SERVICE. If you or someone you know is in immediate danger, in crisis, or having thoughts of suicide or self-harm, call your local emergency number immediately (988 in the US, 112 in the EU, 999 in the UK, 911 in many countries) or go to your nearest emergency room.

Cimpathy and our licensors own the Service, including all software, designs, logos, content, copy, and trademarks. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. You retain ownership of content you create (journal entries, mood data, etc.); you grant us a worldwide, royalty-free license to process that content solely to operate the Service for you. We do not own your data; we are merely permitted to compute on it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIMPATHY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE.

Some jurisdictions do not allow disclaimer of certain implied warranties; in those jurisdictions the disclaimers apply only to the maximum extent permitted by law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIMPATHY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

CIMPATHY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO CIMPATHY IN THAT PERIOD OR (B) US$100.

Some jurisdictions do not allow exclusion or limitation of certain damages (e.g. for death or personal injury caused by gross negligence, or for fraud); in those jurisdictions, our liability is limited only to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Cimpathy and its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorneys' fees) arising from:

13. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

We would first like to resolve any concern informally — please email help@cimpathy.com and we will try to resolve it within 30 days.

If a dispute cannot be resolved informally within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 of India, before a sole arbitrator. The sole arbitrator shall be appointed by the mutual written agreement of the parties; if the parties do not agree within 30 days of a written request to arbitrate, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996 (including, where applicable, by the competent court or a designated arbitral institution). Neither party may unilaterally appoint the sole arbitrator. The seat and venue of arbitration shall be Haryana, India, the language shall be English, and the award shall be final and binding. Nothing in this section prevents either party from seeking urgent interim relief from a court of competent jurisdiction.

Nothing in this section limits your statutory rights as a consumer. If you are a consumer in India, you retain all rights and remedies available to you under the Consumer Protection Act, 2019 and may approach the appropriate Consumer Disputes Redressal Commission; this arbitration clause does not waive those rights.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws rules. Subject to the dispute-resolution clause in Section 13, the courts at Haryana, India shall have jurisdiction, except that a consumer may also pursue remedies before the consumer forum having jurisdiction over their place of residence as permitted by law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Note: these dispute-resolution and governing-law terms are India-aligned defaults and should be confirmed by the Company's legal counsel.

15. Suspension & Termination

You may stop using the Service at any time. To delete your account, go to Settings → Account → Delete account or email help@cimpathy.com.

We may suspend, terminate, or refuse the Service to you at any time, with or without notice, with or without cause, including for suspected violation of these Terms, fraud, risk to other users or to Cimpathy, or for any other reason or no reason. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 9, 10, 11, 12, 13, 14, and 18) will survive.

16. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated by in-app notice and email to your registered address at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with a change, your only remedy is to stop using the Service before the effective date.

17. Miscellaneous

17.1 Entire Agreement

These Terms together with the Privacy Policy constitute the entire agreement between you and Cimpathy regarding the Service and supersede all prior or contemporaneous communications, promises, and proposals, whether oral or written.

17.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force and effect.

17.3 No Waiver

Failure by Cimpathy to enforce any right or provision is not a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may assign these Terms freely (including in connection with a merger, acquisition, or sale of assets).

17.5 Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including acts of God, war, terrorism, pandemic, governmental action, internet outages, or third-party provider failures.

17.6 Not a HIPAA Covered Entity

Cimpathy is a direct-to-consumer wellness tool and is NOT a HIPAA-covered entity or business associate. We do not provide healthcare services and do not create or maintain protected health information ("PHI") as defined under HIPAA. Clinicians wishing to use Cimpathy with patients must contact help@cimpathy.com for a separate BAA before doing so.

17.7 DMCA

Notices of copyright infringement should be sent to help@cimpathy.com with the subject "DMCA Notice" including all elements required under 17 U.S.C. § 512(c)(3).

The Cimpathy service is operated by Viprasol Tech Private Limited (CIN: U62090HR2025PTC135188), a company incorporated on 18 August 2025 and registered in Haryana, India. Legal notices must be sent to help@cimpathy.com. We may give notice to you by in-app message, email to your registered address, or update to these Terms. A postal address is available on request via the email above.

18. Survival

The following sections survive termination of these Terms: 3 (Not Medical Advice), 4 (AI Disclaimer), 5 (Crisis Disclaimer), 9 (IP), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Arbitration), 14 (Governing Law), and 17 (Miscellaneous).

Acceptance. By creating a Cimpathy account, downloading the Cimpathy app, or accessing the Cimpathy website after the Effective Date above, you confirm you have read these Terms in full, understand them, and agree to be bound by them. If you do not agree, do not use the Service.
